# Revise Terms of Service

Effective date: December 23, 2025

## 1. Overview

These Terms of Service ("Terms") govern your access to and use of the Revise web-based collaborative document editor and related services, including AI-powered features (collectively, the "Service"), provided by Migraine, Inc. ("Migraine," "we," "us," or "our").

By accessing or using the Service in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

## 2. Eligibility and Accounts

2.1 Eligibility. You must be at least 13 years old to use the Service. If you are under the age of 18, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. You may not use the Service if you are barred from doing so under applicable law.

2.2 Account Registration. To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information when creating your account, and to keep that information up to date.

2.3 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us at [support@revise.io](mailto:support@revise.io) of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your account.

## 3. Plans, Pricing, and Billing

3.1 Plan Types. The Service is offered on a tiered basis:

- Free plan: Provides access to the Service with a significantly limited AI usage limit that resets on a 24-hour rolling basis and no expiration.
- Plus plan: A paid subscription currently priced at $8 per month or $80 per year, subject to change in accordance with these Terms.
- Pro plan: A paid subscription currently priced at $20 per month or $200 per year, subject to change in accordance with these Terms. The Pro plan includes on-demand usage billing, which allows you to continue using AI features beyond your included monthly quota at an additional per-use cost.

3.2 Subscription Terms. Paid plans are offered on a subscription basis and may use monthly or yearly billing, depending on the plan you select. You authorize Migraine, through our third-party payment processor(s), currently including Stripe, to charge your chosen payment method the applicable subscription fees and any applicable taxes on a recurring basis until you cancel.

3.3 Free Plan. If you use the Free plan, you acknowledge that it includes a much lower AI usage limit than the paid plans and resets on a 24-hour rolling basis. When you reach your limit, certain AI features may stop working or be restricted until your usage resets or you upgrade.

3.4 Extra Usage. Pro plan subscribers have access to on-demand usage billing. If you exceed your included monthly AI usage quota, you may continue to use AI features at an additional per-use cost. On-demand usage is optional and can be enabled or disabled through your account settings. You may also set a monthly spending cap to limit your on-demand charges. On-demand charges are billed separately and may be invoiced immediately when certain thresholds are reached, or periodically based on your usage patterns. If an on-demand payment fails, your access to on-demand usage may be suspended until the payment issue is resolved. You can monitor your usage and on-demand spending through your account settings. On-demand usage rates are displayed in the Service and may be updated from time to time with notice to you.

3.5 Price Changes. We may change the prices of our plans from time to time. Any price change will apply to the next billing period after we provide you with advance notice in accordance with applicable law. Your continued use of the Service after the price change becomes effective constitutes your agreement to the new price.

3.6 Taxes. Subscription fees are exclusive of any taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of all such taxes, levies, or duties, excluding only taxes based solely on Migraine's income.

## 4. Payments, Cancellations, and Refunds

4.1 Payments. Payments for paid plans are processed by third-party payment processors such as Stripe. Your use of such processors may be subject to their own terms and privacy policies. You authorize us and our processors to charge your payment method on a recurring basis for applicable fees.

4.2 Cancellations. You may cancel your subscription at any time through your account settings at /account/billing or the equivalent billing management page in the Service. Cancellation will stop future auto-renewals, but you will retain access to your paid plan features until the end of the then-current billing period. After that period ends, your account may be downgraded to the Free plan or to a reduced level of service.

4.3 No Refunds. Except where required by applicable law, all fees and charges are nonrefundable, including for partial subscription periods, unused features, or periods of inactivity. If you purchase Plus or Pro with yearly billing, you may request a refund during the first month of that yearly billing term. After that first month, yearly billing fees are nonrefundable, including for any unused portion of the yearly billing term. Certain jurisdictions may provide additional statutory rights; nothing in these Terms is intended to limit any such rights where they apply.

4.4 Failed Payments. If a payment is declined or cannot be processed, we may suspend or downgrade your access to the Service until payment is successfully processed. We may also terminate your subscription for continued non-payment.

## 5. Acceptable Use

5.1 General Rules. You agree not to misuse the Service or help anyone else do so. You may not, for example:

- Use the Service for any unlawful, harmful, fraudulent, infringing, or deceptive activity.
- Interfere with or disrupt the integrity or performance of the Service or others' use of the Service.
- Attempt to gain unauthorized access to the Service or related systems or networks.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law.
- Use automated systems, bots, or scraping tools to access or use the Service in a way that imposes an unreasonable load on our infrastructure.

5.2 Prohibited Content. You agree not to upload, create, or share content through the Service that:

- Is illegal, abusive, harassing, defamatory, obscene, or otherwise objectionable.
- Infringes or violates any intellectual property or other rights of any person or entity.
- Contains or constitutes highly sensitive data, including but not limited to: health or medical information protected by law (including Protected Health Information under HIPAA), payment card or bank account numbers, government-issued identification numbers, or other data that could cause significant harm if improperly accessed or disclosed.
- Contains classified, confidential government information, or any other information that you are not authorized to store or share.

5.3 No Regulated Use / No HIPAA. The Service is not designed for, and Migraine does not agree to, any obligations of a "business associate" as defined under the Health Insurance Portability and Accountability Act (HIPAA) or comparable laws. You must not use the Service to store, process, or transmit Protected Health Information (PHI) or other regulated data that would require special handling under applicable law.

## 6. User Content and Licenses

6.1 Your Content. "User Content" means any documents, text, data, files, or other content that you create, upload, or submit to the Service. You retain all ownership rights in and to your User Content, subject to the limited license granted in these Terms.

6.2 License to Provide the Service. By submitting User Content to the Service, you grant Migraine a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display that User Content solely as necessary to operate, maintain, improve, secure, and provide the Service to you and, where applicable, to collaborators that you choose to share content with.

6.3 Responsibility for User Content. You are solely responsible for your User Content and for ensuring that you have all rights, licenses, and consents needed to submit it to the Service and to grant the license described above. Migraine does not endorse or control User Content and is not responsible for it.

6.4 Backups. While we take reasonable steps to protect data, you are responsible for maintaining appropriate backups of your User Content. We do not guarantee that User Content will always be available or recoverable.

## 7. AI and Third-Party Services

7.1 Use of AI Providers. The Service uses third-party large language model (LLM) providers, including but not limited to OpenAI, Anthropic, and xAI (collectively, "AI Providers"). When you use AI-powered features, portions of your User Content, prompts, and related metadata are transmitted to these AI Providers via their APIs so that they can generate outputs.

7.2 No Training on Your Content. Migraine does not permit AI Providers to use your User Content submitted through the Service to train or improve their models, except to the extent such use is strictly necessary for providing the Service to you (for example, for safety monitoring, debugging, or abuse prevention as described in their terms). Migraine itself does not use your User Content to train proprietary machine learning models for general-purpose use.

7.3 Metadata and Usage Data. We may collect and use aggregated or de-identified data about how you use the Service, including usage statistics and technical logs, to operate, maintain, and improve the Service, to develop new features, and for security and analytics purposes. We do not use such data in a way that is intended to identify you personally.

7.4 AI Output Disclaimer. AI-generated outputs may be inaccurate, incomplete, misleading, or otherwise inappropriate. You are solely responsible for reviewing, validating, and editing any AI-generated content before relying on it or sharing it with others. Migraine makes no guarantees regarding the accuracy, reliability, or fitness for a particular purpose of any AI-generated content.

7.5 Third-Party Terms. Your use of AI-powered features and any other integrations may be subject to the terms and policies of the relevant AI Providers and other third parties. Migraine is not responsible for the acts or omissions of third-party providers.

## 8. Intellectual Property

8.1 Migraine's Rights. The Service, including all software, code, user interfaces, designs, and all associated intellectual property rights, are and will remain the exclusive property of Migraine and its licensors. Except for the limited rights expressly granted to you in these Terms, no rights are granted to you, whether by implication, estoppel, or otherwise.

8.2 Feedback. If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you agree that Migraine may use the Feedback without restriction or obligation to you, and you hereby grant Migraine a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the Feedback in any manner.

## 9. Service Availability and Support

9.1 No Guaranteed Uptime. While we aim to keep the Service available and performant, the Service is provided without any uptime or availability guarantees. From time to time, the Service may be unavailable, in whole or in part, due to maintenance, upgrades, or technical issues.

9.2 Support. We currently provide support primarily via email at [support@revise.io.](mailto:support@revise.io) We aim to respond to support requests within 48 hours, but this is a target and not a guarantee. Response times may vary based on volume, complexity, and other factors.

## 10. Term, Suspension, and Termination

10.1 Term. These Terms remain in effect for as long as you access or use the Service or have an account with us.

10.2 Suspension and Termination by Migraine. We may suspend or terminate your access to the Service, or any part of it, at any time, with or without notice, if we believe, in our sole discretion, that:

- You have violated these Terms or any applicable law.
- Your use of the Service poses a security risk, could cause harm or liability to Migraine, other users, or any third party, or could interfere with the operation of the Service.
- You fail to pay any fees when due.

We may also discontinue the Service or any part of it at any time with or without notice.

10.3 Effect of Termination. Upon termination or suspension, your right to use the Service will cease immediately. We may, but are not obligated to, retain or provide you with access to your User Content after termination, subject to applicable law and our data retention practices.

10.4 Survival. Certain provisions of these Terms, including but not limited to those relating to payments, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution, will survive termination.

## 11. Disclaimers

THE SERVICE, INCLUDING ALL CONTENT AND FEATURES, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, MIGRAINE DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, MIGRAINE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. MIGRAINE DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS CONCERNING THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED CONTENT OR OTHER MATERIALS PROVIDED THROUGH THE SERVICE.

## 12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MIGRAINE, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF MIGRAINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, MIGRAINE'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MIGRAINE FOR USE OF THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

CERTAIN JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, MIGRAINE'S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

## 13. Indemnification

You agree to indemnify, defend, and hold harmless Migraine, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property or privacy rights.

## 14. Dispute Resolution, Arbitration, and Class Action Waiver

14.1 Governing Law. These Terms and any dispute arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law principles.

14.2 Informal Resolution. Before initiating formal legal proceedings, you agree to first contact us at [support@revise.io](mailto:support@revise.io) and attempt to resolve the dispute informally. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, either party may proceed to arbitration as described below.

14.3 Arbitration Agreement. You and Migraine agree that any and all disputes, claims, or controversies arising out of or relating to these Terms or the Service that cannot be resolved through informal negotiation will be resolved exclusively through binding arbitration, rather than in court, except that you and Migraine may seek injunctive or equitable relief in a court of competent jurisdiction to prevent (or enjoin) the infringement or misappropriation of intellectual property rights.

The Federal Arbitration Act (FAA) and federal arbitration law apply to this agreement to arbitrate.

14.4 Arbitration Procedure. Arbitration will be conducted by a single arbitrator under the rules of a recognized arbitration provider mutually agreed upon by the parties (such as the American Arbitration Association), or, if the parties cannot agree, as selected by a court of competent jurisdiction. The arbitration will be conducted in the English language in Massachusetts, United States, unless you and Migraine agree otherwise. The arbitrator's decision will be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

14.5 Class Action Waiver. YOU AND MIGRAINE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless you and Migraine both agree otherwise, the arbitrator may not consolidate or join more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.6 Opt-Out. If you do not wish to be bound by the arbitration and class action waiver provisions in this Section 14, you must notify us in writing within 30 days of the date you first accept these Terms. Your written notification must be sent to [support@revise.io](mailto:support@revise.io) and must include your name, the email address associated with your account, and a clear statement that you do not wish to resolve disputes with Migraine through arbitration.

## 15. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference. You can review it at /privacy. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

## 16. Changes to the Service and these Terms

16.1 Changes to the Service. We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice, including by adding or removing features or functionality.

16.2 Changes to the Terms. We may update these Terms from time to time. When we make material changes, we will provide notice by, for example, posting the updated Terms on this page and updating the effective date at the top, and/or sending you an email or in-app notification. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms.

## 17. Publicity

We may ask for your permission to identify you or your organization (for example, by name and logo) as a customer of the Service in our marketing materials, websites, and presentations. We will only do so with your prior written consent, and you may revoke such consent at any time in accordance with any agreement between you and Migraine.

## 18. Miscellaneous

18.1 Entire Agreement. These Terms, together with any other agreements or policies referenced herein (including our Privacy Policy), constitute the entire agreement between you and Migraine regarding the Service and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral, relating to the Service.

18.2 Assignment. You may not assign or transfer these Terms, or any rights or obligations under them, by operation of law or otherwise, without Migraine's prior written consent. Migraine may freely assign or transfer these Terms without restriction.

18.3 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

18.4 No Waiver. Failure by Migraine to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

18.5 Notices. We may provide notices to you via email, through the Service, or by posting on our website. You agree that all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
