8. Limitation of Liability. Except for the excluded claims set forth below, neither party's aggregate liability under this Agreement shall exceed the fees paid in the twelve months preceding the claim.

In no event shall either party be liable for indirect, incidental, or consequential damages, including lost profits, even if advised of the possibility of such damages.

The foregoing limitations shall not apply to a party's indemnification obligations, breach of confidentiality, or liability arising from gross negligence or willful misconduct.

9. Term and Termination. This Agreement continues for an initial term of one year and renews for successive one-year terms only upon written confirmation by Customer no fewer than thirty days before renewal.

Either party may terminate for material breach if the breach remains uncured for thirty days after written notice describing it in reasonable detail.

10. Data and Confidentiality. Vendor shall use Customer Data solely to provide the Services and shall return or destroy all such data within thirty days of termination upon request.

11. Indemnification. Vendor will defend and indemnify Customer against third-party claims alleging that the Services infringe any intellectual-property right, and shall pay any resulting settlement or final award.

12. Governing Law. This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
