I. Plaintiff Fails to State a Claim for Breach of Contract. The Complaint should be dismissed under Rule 12(b)(6) because it does not plead facts sufficient to support each element of the alleged agreement.

To state a claim for breach of contract, a plaintiff must allege the existence of a valid contract, performance by the plaintiff, breach by the defendant, and resulting damages. The Complaint addresses none of these elements with particularity.

First, the Complaint never identifies who made the alleged promise, when it was made, or on what terms. A bare assertion that the parties "reached an understanding" is a legal conclusion, not a well-pleaded fact. The Court need not accept such unsupported labels as true.

Second, even accepting the allegations as true, the Complaint shows that Plaintiff itself failed to perform. Plaintiff concedes at paragraph 14 that it never tendered the goods that the alleged contract required.

Third, Plaintiff's damages theory is insufficiently pleaded, resting on a single conclusory figure with no facts connecting the alleged breach to any measurable loss.

II. Leave to Amend Would Be Futile. Because the defects are substantive rather than technical, no amendment could cure them, and dismissal should be with prejudice.

Plaintiff has already amended once and still cannot identify the basic terms of the agreement it seeks to enforce.

For the foregoing reasons, Defendant respectfully requests that the Court grant this Motion and dismiss the Complaint in its entirety.
