Commercial License

The terms of a Revise SDK commercial license bought on revise.io.

These terms apply to a commercial license for the Revise SDK bought on revise.io/sdk. They are an agreement between Migraine, Inc., a Delaware corporation doing business as Revise ("Revise"), and the company named at checkout ("you"). You accept them by checking the box at checkout and completing the purchase, and you confirm that you can bind that company.

For other terms, such as several applications, source code access, invoicing, support commitments, or infringement indemnity, talk to us about an Enterprise agreement.

1. License#

1.1 Grant. While your subscription is active, Revise grants you a nonexclusive, nontransferable (except under section 11.3), nonsublicensable license to install, copy, run, and integrate the SDK in the Licensed Application for production use, to distribute the SDK to the application's users solely as incorporated into the Licensed Application (for example, in its browser bundle or installer), and to let those users use the SDK as part of it.

1.2 Definitions. The SDK is the Revise editor (the revise npm package), the Revise document engine it runs on, their documentation, and the updates Revise makes generally available. The Licensed Application is the one application named at checkout: one product under one name, including all of its environments (production, staging, test), versions, domains, users, and customer accounts or tenants, whether you host it or your customers host their own instances of it. A separately branded or materially different product is another application, including a white-label edition sold under another name. If you rename the Licensed Application, tell us at sdk@revise.io and the license follows the new name.

1.3 One application. Each license covers one Licensed Application. Each other application needs its own license.

1.4 Hosting and contractors. You may host the Licensed Application on your own infrastructure or with hosting providers, and may let contractors build and operate it for you, as long as they follow these terms. You are responsible for their compliance.

1.5 Restrictions. You will not: (a) use the SDK outside the Licensed Application; (b) sell, sublicense, or distribute the SDK on its own, or as a reusable component, toolkit, or wrapper for others to build with; (c) decompile, disassemble, reverse engineer, or modify the SDK, or try to derive its source code, except where applicable law expressly allows it despite this restriction; or (d) remove or change copyright or license notices. Configuring the SDK through its documented options, and bundling, minifying, or compiling it as part of the Licensed Application's build, is not modification.

1.6 License key. Revise issues a license key for the Licensed Application. Use it only in that application. The key identifies the license; these terms, not the key, are what license production use.

1.7 Free use stays free. Evaluation, development, testing, and the other free uses in the Revise SDK License need no commercial license. Nothing in these terms, including section 1.5, limits what that license or any open-source license allows on its own, during or after your subscription.

1.8 Open-source components. Parts of the SDK and its dependencies are available under open-source licenses (for example, revise/server and the Revise CLI under the MIT license). Those licenses govern those parts, and these terms do not restrict them.

2. Term, renewal, and cancellation#

2.1 Term. The license runs for the billing period you chose at checkout (quarterly or annual) and renews automatically for the same period at the then-current price until it is canceled.

2.2 Cancellation. You may cancel at any time from the billing portal linked on your license page (the license email links to it), or by email to sdk@revise.io. Cancellation takes effect at the end of the current paid period.

2.3 Nonpayment and breach. If a renewal payment fails, the subscription stays active, and the license with it, while payment is retried. If payment is not made within 14 days of notice, or you materially breach these terms and do not cure the breach within 30 days of notice, Revise may end the license.

2.4 When the license ends. You have 30 days after the license ends to wind down. By the end of that period you will stop using the SDK in production deployments that you or your contractors operate, and stop shipping new releases or new installations of the Licensed Application that include the SDK. Copies of the Licensed Application already delivered to your customers before the license ended may keep running as delivered, and you may keep supporting them, but not with new releases that include the SDK. Sections 1.5, 1.7, 1.8, 3, 4, 6, 7, 8, 9, and 11 survive.

3. Fees and taxes#

3.1 You pay the price shown at checkout, in US dollars, in advance of each billing period, charged to your payment method through Stripe. Fees are not refundable except under section 6 or where the law requires.

3.2 Revise may change the price of future renewals by telling you at least 30 days before the renewal.

3.3 Prices do not include taxes. You pay any sales, use, value-added, or similar taxes on the fees, other than taxes on Revise's net income.

4. Updates and support#

4.1 While the license is active, you may use any SDK version Revise makes generally available, including updates and new versions.

4.2 Revise provides support by email at sdk@revise.io, in English, and aims to respond within two business days. There is no service level commitment.

5. Your data#

5.1 The SDK runs inside the Licensed Application. Documents and the data in them stay on your systems and are not sent to Revise.

5.2 Once per page load, the SDK sends Revise a usage ping containing the SDK version and the origin (scheme, host, and port) of the page it runs on. It sends no document data and sets no cookies, and Revise does not store the IP address the ping comes from. You can turn it off with telemetry={false}.

5.3 Revise hosted services, such as the Revise API, are not part of this license.

6. Warranty#

6.1 For 30 days after your first purchase, Revise warrants that the SDK will perform substantially as described in its documentation. If it does not and Revise cannot fix the problem within a reasonable time, your remedy is a refund of the fees for the current billing period, and the license ends.

6.2 EXCEPT AS STATED IN SECTION 6.1, THE SDK IS PROVIDED "AS IS", AND REVISE DISCLAIMS ALL OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT, TO THE EXTENT THE LAW ALLOWS.

7. Ownership#

Revise and its licensors own the SDK and all rights not expressly granted. You own your application and your documents. These terms include no obligation to defend or indemnify you against infringement claims; an Enterprise agreement can.

8. Limitation of liability#

TO THE EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR LOST PROFITS, LOST DATA, OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, AND EACH PARTY'S TOTAL LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID IN THE 12 MONTHS BEFORE THE CLAIM. THE CAP DOES NOT APPLY TO YOUR PAYMENT OBLIGATIONS OR TO YOUR USE OR DISTRIBUTION OF THE SDK BEYOND THE LICENSE IN SECTION 1.

9. Compliance#

Each party will comply with the laws that apply to it under these terms, including export control, sanctions, and anti-corruption laws.

10. Changes to these terms#

Revise may update these terms. An update applies from your next renewal after Revise posts it here and tells you by email at least 30 days ahead. The terms in effect when a billing period starts apply for that whole period.

11. General#

11.1 Governing law. These terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-laws rules, and disputes go to the state or federal courts in Delaware. The UN Convention on Contracts for the International Sale of Goods does not apply.

11.2 Entire agreement. These terms are the entire agreement about the commercial license. They govern production use of the SDK in the Licensed Application, and where they conflict with the Revise SDK License for that use, these terms control. The free uses in section 1.7 continue under the Revise SDK License, and open-source parts under their own licenses (section 1.8). A signed Enterprise agreement controls where it conflicts with these terms.

11.3 Assignment. Neither party may assign these terms without the other's consent, except to a successor in a merger or acquisition of substantially all of its business, with notice.

11.4 Notices. Revise sends notices to the email address used at checkout. Send notices to Revise at sdk@revise.io.

11.5 Other. If a provision is unenforceable, the rest remains in effect. A failure to enforce is not a waiver. The parties are independent contractors. These terms are in English.
